Terms of Business

1. Introduction
These Terms of Business (“Terms”) set out the basis on which ArkSigma Ltd, trading as mypy Property Services (“we”, “us”, or “our”), provides property management services to you, the client (“you” or “the client”). By engaging our services, you agree to be bound by these Terms.

2. Scope of Services
We provide property management services which may include tenant sourcing, rent collection, maintenance coordination, legal compliance (including serving notices), and general property oversight. The specific services to be provided will be detailed in your individual instruction or service agreement.

3. Fees and Payment
a. Our fees will be clearly outlined in your instruction letter or service agreement.
b. All invoices must be paid within 14 days of the invoice date unless otherwise agreed in writing.
c. Interest may be charged on overdue payments at a rate of 4% per annum above the Bank of England base rate.

4. Client Obligations
You agree to:
a. Provide full, accurate, and timely information regarding the property and its legal status;
b. Ensure the property is compliant with all applicable legislation and regulations, including but not limited to gas safety, electrical safety, and fire regulations;
c. Authorise us to act as your agent in matters relating to the property, as set out in the service agreement.

5. Tenancy Agreements and Legal Notices
a. We may prepare tenancy agreements and serve notices, including Section 21 and Section 8 notices, on your behalf.
b. We are not solicitors and do not provide legal advice. We act with reasonable care and diligence, but we recommend that clients seek independent legal advice where necessary.

6. Limitation of Liability
a. While we aim to provide services with reasonable skill and care, we shall not be liable for any genuine errors or omissions except to the extent set out in this clause.
b. Our total liability to you for any loss, damage, or expense arising from a genuine error or omission shall be limited to the total amount of the invoice issued for the relevant service.
c. We shall not be liable for any indirect or consequential loss, including but not limited to loss of rent, profit, or reputation.

7. Insurance and Indemnity
We maintain professional indemnity insurance appropriate to the services we provide. You agree to indemnify us against all liabilities, claims, costs, and expenses arising from any breach by you of these Terms or applicable law.

8. Termination
Either party may terminate our services by giving 30 days’ written notice. Termination shall not affect any rights or obligations that have accrued prior to termination.

9. Confidentiality
We will handle your personal and property information in strict confidence, except where disclosure is required by law or authorised by you.

10. Data Protection
We comply with the Data Protection Act 2018 and UK GDPR. Our Privacy Policy outlines how your data is collected, used, and stored.

11. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the English courts.
